Scope of services
Direct Softworks SRL provides custom software services such as web dashboards, landing pages, and Windows desktop applications.
The exact scope, deliverables, and timeline are described in a written proposal or contract for each project.
Payment terms
- 50% upfront, due when the project is accepted and before work starts.
- 25% at midpoint, due when the main structure or first working version is delivered.
- 25% on delivery, due when the final version is delivered and approved.
Invoices are payable within the term agreed in the contract (usually 10 to 15 calendar days).
Revisions
Each project includes up to two rounds of reasonable revisions within the agreed scope.
Changes that clearly expand the scope (for example, new features or extra sections) are priced separately and agreed in writing before we build them.
Intellectual property
Until the final payment is received, Direct Softworks SRL retains all intellectual property rights to the work delivered.
After full payment, intellectual property rights for the custom work described in the contract are transferred to the client, except for:
- Existing libraries, frameworks, and tools used in the project.
- Generic components and know‑how that Direct Softworks SRL may reuse in other projects.
Limitation of liability
We aim to deliver stable, well‑tested software, but no system is perfect.
To the maximum extent permitted by law, Direct Softworks SRL is not liable for indirect, incidental, or consequential damages, such as lost profits, data loss, or business interruption.
Any direct liability is limited to the total amount paid by the client for the specific project that caused the issue.
Governing law and disputes
These terms and any related project agreements are governed by Romanian law.
We first try to resolve disagreements in a direct conversation. If we cannot agree, disputes are handled by the competent courts in Romania.
Final notes
Specific details for each project (scope, price, timeline) appear in the individual proposal or contract. If there is a conflict between this page and the signed contract, the contract wins.
